Terms and Conditions of Sale and Delivery – Genito A/S (B2B)

1. Scope and validity

These terms and conditions apply to all offers, sales, and deliveries from Genito A/S to business customers (B2B), unless otherwise agreed in writing.

2. Prices and Payment

All prices are exclusive of VAT.
Payment is due after delivery, according to the payment terms stated on the invoice.
In case of late payment, a reminder fee of 2% of the outstanding amount will be charged per reminder.
Ownership of the goods remains with Genito A/S until full payment has been received.

3. Delivery and transfer of risk

Delivery is made via GLS or Genito's own carrier.
The risk passes to the buyer upon delivery.
Genito A/S reserves the right to select another shipping method if deemed necessary. Any additional costs will be communicated before implementation.
Delivery times are estimates, and Genito A/S cannot be held responsible for delays caused by the carrier or other factors beyond our control.

4. Freight rates

Freight prices are specified in our offers or order confirmations.

5. Complaints and Defects

The buyer has 2 years warranty for hidden defects.
Complaints must be made in writing immediately after the defect is or should have been discovered.
Genito A/S only covers replacement or delivery of parts for the defective product. Other claims, including loss of profit, operational loss, or indirect damages, are excluded.

6. Returns

Returns are accepted only by prior agreement and only if the product is returned unused and in original packaging.
Return shipping is at the buyer's expense.
A handling fee of DKK 83.50 plus freight costs will be charged for returns.

7. Disclaimer

Genito A/S is not liable for delays, indirect losses, loss of profits, or other consequential damages due to delayed or defective delivery.

8. Force Majeure

Genito A/S is not responsible for failure to fulfill the agreement due to force majeure, including but not limited to strikes, lockouts, war, natural disasters, fire, pandemics, supplier failures, or other unforeseen events beyond our control.

Genito A/S only processes customer data in connection with order handling and contract fulfillment. Data is not disclosed to third parties.

10. Governing Law and Jurisdiction

Any disputes shall be governed by Danish law and settled by the Court of Viborg, Denmark.
